End User License Agreement (EULA) for Payment Integration Service

This End User License Agreement (“EULA”) is a legal agreement between you (the “Licensee”) and Maxcommerce (the “Licensor”) regarding your use of the Payment Integration Service (“in form of software, service or add-on”) provided by the Licensor, which enables users to generate payment links upon installation and use.

By downloading, installing, or using the service, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the service.


1. License Grant

Licensor hereby grants Licensee a limited, non-exclusive, non-transferable, and revocable license to install and use the service solely for generating payment links as described in this EULA and accompanying documentation.

2. License Restrictions

Licensee shall not:

  • Copy, modify, adapt, translate, or create derivative works of the service.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the service.
  • Rent, lease, sublicense, distribute, or transfer the service to a third party.
  • Use the service for any purpose other than generating payment links for legitimate transactions as permitted by law.
  • Circumvent or disable any security or other technological features of the service.

3. Ownership and Intellectual Property

The service, including all related documentation, trademarks, logos, and intellectual property, is the exclusive property of the Licensor and is protected by copyright, trademark, and other laws. This EULA does not transfer any ownership rights in the service to the Licensee.

4. Payment Processing and Data Handling

  • Third-Party Services: Licensee acknowledges that the service may interact with third-party payment processing services. Licensor is not responsible for the terms, policies, or practices of third-party providers.
  • Data Collection: The service may collect certain data related to payment link generation for analytics or compliance purposes. Licensor will handle this data per the [Your Company Name] Privacy Policy, available at [Privacy Policy URL].

5. Updates and Support

Licensor may, at its discretion, provide updates or patches to the service. Licensee agrees that these updates are subject to the terms of this EULA. Licensor does not guarantee support for the service unless explicitly stated in a separate agreement.

6. Term and Termination

  • Term: This EULA is effective upon Licensee’s acceptance and continues until terminated.
  • Termination: Licensor may terminate this EULA immediately if the Licensee breaches any terms. Upon termination, Licensee must cease all use and delete all copies of the service.
  • Effect of Termination: Termination of this EULA will not limit any rights or remedies of the Licensor at law or in equity.

7. Warranty Disclaimer

The service is provided “AS IS” without warranty of any kind, express or implied. Licensor disclaims all warranties, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Licensor does not warrant that the service will be error-free, secure, or available at all times.

8. Limitation of Liability

To the maximum extent permitted by law, Licensor shall not be liable for any damages arising out of the use or inability to use the service, including but not limited to indirect, special, incidental, or consequential damages, even if Licensor has been advised of the possibility of such damages.

9. Indemnification

Licensee agrees to indemnify, defend, and hold harmless Licensor, its affiliates, and employees from and against any claims, damages, liabilities, and costs arising from Licensee’s misuse of the service or any violation of this EULA.

10. Governing Law and Jurisdiction

This EULA shall be governed by and construed under the laws of United Kingdom, without regard to its conflict of law principles. Any disputes arising under or in connection with this EULA shall be subject to the exclusive jurisdiction of the courts located in United Kingdom.

11. Miscellaneous

  • Entire Agreement: This EULA constitutes the entire agreement between the parties regarding the service and supersedes any prior agreements or understandings.
  • Severability: If any provision of this EULA is found to be unenforceable, the remainder shall remain in full force and effect.
  • Waiver: Failure of either party to enforce any right or provision will not be deemed a waiver of future enforcement.

BY INSTALLING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THIS EULA AND AGREE TO BE BOUND BY ITS TERMS.
